It generally takes about 6 to 12 months to complete.

What is company deregistration?

Company deregistration, also known as cancellation of registration, is the statutory procedure by which a limited company that no longer operates and is solvent applies to the government to formally end its legal status and responsibilities.

What is company deregistration? Deregistration vs. winding up

“Company deregistration” is a simple route to dissolution that the Companies Ordinance, section 750, provides for companies that no longer operate but remain solvent, namely private companies or companies limited by guarantee. As long as the company repays all its debts and obtains the Inland Revenue Department’s “Notice of No Objection”, it can, at lower cost and in less time, formally cease to exist once the Gazette notice has been published.

On the other hand, “Winding up” applies to companies that cannot pay their debts: a liquidator takes over the assets and repays creditors through statutory procedures, at higher cost and with more time.

Deregistration is simpler, quicker and more economical than winding up. However, if a company does not complete the deregistration procedure as required, the company and its directors may face legal liability.

Why deregister a company? The 4 most common reasons

Companies choose to deregister (that is, formally end their legal status) for many reasons. The most common are:

The company no longer operates or is unprofitable

When a company cannot meet its revenue targets, cover its expenses or make a profit over a long period, continuing to operate no longer makes economic sense, and members may choose to deregister the company to avoid further losses.

Business restructuring, mergers or break-ups

When a group or association restructures, consolidates resources or transfers assets, some subsidiaries or entities may be deregistered.

Disputes between shareholders

When serious disagreements arise between a company’s shareholders and they can no longer cooperate effectively, deregistering the company can be a way of resolving the dispute.

Company breaches leading to compulsory deregistration

If a company fails to meet its statutory obligations, or breaches the rules through poor management, it may face deregistration or be compulsorily wound up by a regulator.

Which companies can apply for deregistration?

Types of company that qualify

Only private limited companies or companies limited by guarantee registered in Hong Kong that are solvent may apply for deregistration. Under the Companies Ordinance, the specific companies mentioned in section 749(2) do not qualify.

Conditions for applying for company deregistration

All members of the company agree to the deregistration;

The company has not yet commenced operations or business, or has not carried on operations or business in the 3 months immediately before the application;

The company has no outstanding liabilities;

The company is not a party to any legal proceedings;

The company’s assets do not include immovable property in Hong Kong;

(If the company is a holding company) none of the assets of any of its subsidiaries include immovable property in Hong Kong;

The company has obtained the Commissioner of Inland Revenue’s Notice of No Objection to Deregistration of Company (the “Notice of No Objection”).

Who can apply for deregistration?

The applicant can be the company itself or any director.

Deregistration is a rather complicated process, and you may need to submit additional documents along the way. All members must attend the meeting or sign a written resolution and unanimously agree to pass the deregistration resolution before the deregistration process can formally begin.

Deregistering a limited company, step 2: Fulfil the company’s statutory obligations and settle all taxes and debts

Before submitting the deregistration application, the company must first complete all its statutory obligations, including submitting to the Inland Revenue Department the company’s tax return up to the year of closure, the annual return, and the employer’s remuneration and pension returns. It must also confirm whether there are any unanswered tax enquiries or outstanding objections or appeals, and ensure that all taxes (such as profits tax, property tax, stamp duty and related penalties) have been paid.

In addition, if the company has debts, it must settle all debts and expenses, including business registration fees, and properly deal with the distribution of any remaining assets.

Deregistering a limited company, step 3: Apply to the Inland Revenue Department for a “Notice of No Objection”

Before applying to deregister a limited company, you must apply to the Inland Revenue Department for a Notice of No Objection, to prove that the company has settled all taxes and has no tax arrears. You need to download and complete the “IR1263” form from the Inland Revenue Department’s website, then submit it together with a fee of HK$270 (non-refundable), payable to “The Government of the Hong Kong Special Administrative Region”, to the Inland Revenue Department.

Once the Inland Revenue Department has completed its review and confirmed that the company has no tax arrears or other outstanding matters, it will issue the “Notice of No Objection”, an important document for successful deregistration.

Deregistering a limited company, step 4: Apply to the Companies Registry for deregistration

After receiving the “Notice of No Objection to Deregistration” issued by the Inland Revenue Department, the next step is to submit the following documents to the Companies Registry to formally apply for deregistration:

Original “Notice of No Objection to Deregistration” (paper copy or a copy certified electronically)

A fully completed Form NDR1 (Application for deregistration of a private company or a company limited by guarantee)

The government deregistration fee of HK$420 (non-refundable in any circumstances)

Please make sure all documents are complete before submitting them to the Companies Registry, to avoid the application being delayed or returned.

Deregistering a limited company, step 5: Wait for the Gazette notice and for the deregistration to take effect

About one month after the Companies Registry receives the deregistration application, it will publish a Gazette notice and issue a confirmation notice. If no objection is received within three months (90 days) after the notice is published, the deregistration process is formally complete and the company is formally removed from the Companies Registry.

Hong Kong company deregistration FAQs

How long does deregistration take?

Generally, deregistering a Hong Kong company takes about 6 to 12 months, and the actual time depends on the company’s own circumstances. If the company has unresolved financial, legal or tax issues, it may take longer.

Until the company is formally deregistered, it must still submit its annual return on time as required, to avoid unnecessary legal liability or penalties.

What are the costs of deregistering a limited company?

The cost of deregistering a Hong Kong limited company varies with the company’s circumstances. It generally includes the government deregistration application fee, outstanding taxes, business registration fees and any penalties. In addition, if the company needs to engage professional advisers for legal, tax or audit and tax-filing matters, related service fees are incurred.

Do company records still need to be kept after deregistration?

Yes.

Although the company has been dissolved, under the Inland Revenue Ordinance, section 51C, a company that has been deregistered must still keep its company documents, records and tax returns for at least 7 years, in case the IRD makes enquiries or for other legal needs.

Can a company be restored after deregistration?

A deregistered company can apply to be restored to the register under certain conditions.

Under Hong Kong law, a local company must apply to the Court of First Instance for restoration within 20 years of deregistration, while a non-Hong Kong company must do so within 6 years. The whole process involves legal proceedings, so we recommend seeking professional legal advice. If the court approves the application and the documents submitted meet the requirements, restoration takes about 2 to 3 months.

Can the address be changed after applying for deregistration?

Yes, but you must notify the Companies Registry separately. If the company's registered address changes after the deregistration application, you must complete Form NR1 and submit the updated particulars by post. If a director's address changes, you must notify the Registry using Form ND2B so that it can update its records accordingly.

Do I still need to file tax returns during deregistration?

Yes.

Even if the company has applied for deregistration, all taxes and fees payable must be settled before it is formally dissolved, including company tax, liquidation tax, stamp duty and so on. If any tax remains unpaid, the IRD has the right to recover the amounts owed and may hold the company's directors or other responsible persons liable.

Does the company need to repay all its debts before deregistration?

Yes.

Before applying for deregistration, the company must settle all its debts and liabilities, including paying all taxes, clearing all financial obligations, and properly dealing with any outstanding legal proceedings and tax matters, so that the company has no unresolved liabilities.

What happens to the company's assets and cash after deregistration?

Once a company is successfully deregistered, the assets in its name are treated as ownerless property and automatically vest in the Government of the Hong Kong Special Administrative Region. If the company still holds cash or other assets, we therefore recommend that the responsible persons or shareholders agree on a proper distribution before applying for deregistration. Once the company is deregistered, these assets cannot be recovered.

Professional company deregistration services in Hong Kong: SetupHK

If you want to save time and avoid complicated procedures by getting professional help to complete the Hong Kong company deregistration process, we are a trustworthy choice.

Since our founding in 2014, we have helped many clients complete company deregistration smoothly.
